The LCBO is a provincial government enterprise reporting to the Minister of Finance.

The LCBO has a Board of up to 11 members. They are appointed by the Lieutenant-Governor, through Orders-in-Council, on the recommendation of the Premier and the Minister of Finance. Members are appointed for a term of up to five years and terms can be renewed. There are regular monthly Board meetings.
The mandate of the Board is to supervise the business affairs of the LCBO. Among its most important responsibilities are:
The LCBO Board has adopted a code of business conduct that includes policies addressing conflict of interest, confidentiality, the outside activities of employees and officers, gifts and entertainment.
The Board approves an annual health and safety policy and the Chief People Officer, provides the Board with regular health and safety reports.
The Audit Committee assists the Board of Directors with oversight of the integrity of LCBO’s financial statements; the financial reporting process; the systems of internal control and risk management functions; and the performance of the Internal Audit Services Department’s functions.
The Governance Committee is responsible for recommending the LCBO's corporate governance policies and practices and ensuring that the LCBO adheres to sound corporate governance principles.
The Human Resources and Compensation Committee (HRCC) assists the Board of Directors with oversight and makes recommendations concerning human resources and compensation matters, including workplace health and safety, and talent management strategies and programs to ensure LCBO has the employee capabilities to achieve its goals.
The Technology Committee assists the Board of Directors with oversight of certain technology risks and related matters.
George Soleas is President & Chief Executive Officer of the Liquor Control Board of Ontario (LCBO), one of the world’s largest retailers of beverage alcohol. He joined the LCBO in 1997 as Director of Quality Assurance after serving more than 11 years with the Canadian wine industry, taking on progressively senior leadership positions until he was named President & Chief Executive Officer in 2016.
George’s diverse education includes a BSc from McMaster University, a MSc and PhD from the University of Toronto, a diploma in Oenology from U.C. Davis, as well as a Masters Certificate in Supply Chain and Logistics Management from the Schulich School of Business. He remains committed to higher education through professional affiliations with McMaster University, Brock University, and the University of Guelph. George completed executive training through the New CEO Workshop at Harvard Business School, the Breakthrough Program for Senior Executives at the International Institute for Management Development (IMD) in Switzerland, the Rotman Institute of Corporate Directors program and received his ICD.D designation. His widely published research focuses primarily on the biochemical aspects of beverage alcohol constituents and their effects on humans.
George was recognized for successful leadership, driving innovation, and strong community commitment with the 2024 Distinguished Canadian Retailer of the Year Award by the Retail Council of Canada. He is also the recipient of such awards as the Ontario Imported Wine-Spirits-Beer Association’s Industry Partnership Award, the Greek Wine Industry Award, the McMaster Alumni Gallery Award. He was inducted with the rank of Honorary Confrade into the Confraria do Vinho do Porto (Port Wine Brotherhood) and appointed to the Jurade de Saint Emilion, Chevaliers du Tastevin, and the Keepers of the Quaich. Board memberships include the Retail Council of Canada.
Francinne (Fran) Hansen is an accomplished HR and Operations executive leader who has spent over 25 years working across multiple industries and countries. She joined LCBO in July 2025 and leads the HR Division, overseeing cultural transformation, change management, talent management, people operations, total rewards, wellness and safety, diversity, equity, and inclusion, and labour relations.
Before joining LCBO, Fran was the Chief Operating Officer at Gender Intelligence Group, responsible for all operational aspects of the business from administration to learning, leadership, sales, marketing, and IT, notably helping define a future state operating model for the company. Prior, she was SVP, HR at Vale Canada, where she delivered an HR and Labour Relations strategy grounded in business partnership, excellence in people management, and high performance. She’s also spent time in senior executive roles at Loblaws and Indigo.
Fran is a purpose-driven leader who is committed to a culture of inclusion, customer excellence and bringing an organization’s purpose and values to life for all employees and stakeholders. She holds a Postgraduate Certificate in Business Administration from the University of Liverpool.
Carmine Nigro is an accomplished real estate development executive and entrepreneur known for his practical and solutions-focused approach to complex projects.
As the co-founder and president of CRAFT Development Corp., he has more than 35 years of real estate development experience, including acquisitions, construction management and urban planning with projects involving retail, office and residential space in southern Ontario and the U.S.
Carmine is an active member of the community. In addition to volunteering for children’s Make-A-Wish, he is a member of the Friends of the Orphans Canada organization, helping to design and build schools, hospitals and other facilities in Guatemala, the Dominican Republic, and other countries. In addition, Carmine is the Chair of Ontario Place Corporation, a member of the board of directors of Invest Ontario and Runnymede Healthcare Centre and has been on the Senate of The Canadian Military Regiment, The Queens Own Rifles since 2021.
Carmine was appointed Chair of the LCBO Board in April 2019 for a three-year term. His term was renewed again in April 2025 for a three-year term.
Hartley Lefton is a business lawyer and partner at McCarthy Tetrault LLP, one of Canada's leading law firms. He leads the firm's National Insurance and Reinsurance group, advising clients on mergers and acquisitions, as well as complex regulatory compliance matters. Harley is recognized as one of Canada’s top insurance and financial services lawyers.
Beyond his legal practice, Hartley is committed to public service. He has served as Chair of the Toronto Parking Authority since 2019, overseeing North America’s largest municipal parking operator, as well as BikeShare and EV charging businesses. Since 2018, he has also been Director and Secretary of AboutFace Craniofacial Family Society, an organization that supports people with facial differences and their families.
Hartley earned his JD and MBA from the University of Toronto and his BA (Honours) and BSc from Queen’s University. In recognition of his professional excellence and community contributions, Hartley received a Queen Elizabeth II Pin in 2023.
Hartley was appointed to the LCBO Board in June 2025 for a one-year term.
Alison Matthews is a Toronto-based communications executive with a reputation for guiding organizations through complex public affairs and strategic challenges, providing thoughtful advice and practical solutions in fast-moving, high-stakes environments.
Since 2011, she has led her own boutique consulting practice, leveraging expertise at the intersection of politics, marketing, and communications to advise a diverse roster of clients across both the private and public sectors. Her work often focuses on helping organizations build consensus, manage change, and advance effective public affairs strategies.
Outside of her consulting work, Alison is an active volunteer and community leader, supporting local fundraising, governance, and mentorship initiatives. She has served as Co-Chair of the Churchill Society’s Parliamentary Democracy Gala, Chair of the Doug Finley Memorial Dinner, and is a media trainer with the Women in Media Fellowship, mentoring women in healthcare to strengthen their public voice.
Alison was appointed to the LCBO Board in June 2025 for a one-year term.
